Please read these Terms of Service (collectively with Demi Solutions OÜ's Privacy Policy, the "Terms of Service") fully and carefully before using the services, features, and content offered by Demi Solutions OÜ ("UTMTool", "we," "us," or "our") through its website, plugins, or software applications (collectively, the " Services"). These Terms of Service set forth the legally binding terms and conditions for your use of the Services.

1. Acceptance of Terms

By accessing this website or using our Services in any manner, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our Services.

2. Use License

Permission is granted to access and use the Services for your own internal business or personal purposes. This is the grant of a license, not a transfer of title, and under this license you may not:

• Modify or copy the materials beyond what the Services normally produce for you;
• Resell, sublicense, or commercially redistribute the Services or their output as a competing product;
• Attempt to reverse engineer any software contained on UTMTool's website;
• Remove any copyright or other proprietary notations from the materials; or
• Transfer the materials to another person or "mirror" the materials on any other server.

This license shall automatically terminate if you violate any of these restrictions and may be terminated by UTMTool at any time.

3. Disclaimer

The materials on UTMTool's website are provided "as is". UTMTool makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties, including without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights. Further, UTMTool does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on its website or otherwise relating to such materials or on any sites linked to this site.

4. Limitations of Liability

In no event shall UTMTool or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on UTMTool's website, even if UTMTool or a UTMTool authorized representative has been notified orally or in writing of the possibility of such damage.

5. Governing Law

These Terms shall be governed and construed in accordance with the laws of Estonia, without regard to its conflict of law provisions.

6. Changes to These Terms

UTMTool may revise these Terms of Service from time to time. Material changes will apply prospectively, and we will provide reasonable notice when required by applicable law. The updated Terms will state their effective date.

7. Plans, Pricing and Payment

UTMTool offers a free account plan with limited projects and features. Access to paid features begins when your payment is approved.

Paid plans are monthly or annual subscriptions processed by Paddle, our payment provider and merchant of record. Your subscription automatically renews for the same billing interval until cancelled. You may cancel through your billing page at any time; cancellation takes effect at the end of the then-current paid billing period, and no further renewal payment will be taken.

Current prices, billing intervals, plan allowances, and any applicable taxes are shown before checkout. We may change prices or plan features prospectively. If a price change affects an existing subscription, we will provide reasonable advance notice and the change will apply no earlier than a future renewal, subject to applicable law.

8. Free Plan

UTMTool offers a free plan for evaluating the core URL builder. The free plan is not time-limited. Additional features become available with a paid subscription.

9. 30-Day Money-Back Guarantee

If you are not satisfied with your first paid UTMTool subscription, you may request a refund of the initial subscription payment within 30 days after purchase by contacting [email protected]. The guarantee does not apply to renewal payments, later subscriptions, or other purchases. Refunds are processed through Paddle. Nothing in this policy limits any refund, withdrawal, or other consumer right that cannot lawfully be excluded or restricted.

10. Affiliate Program

All users are automatically enrolled in our affiliate program with a standard 30% commission on referred sales. Full terms and conditions of the affiliate program are available in our separate Affiliate Agreement.

11. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of UTMTool and its licensors. The Service is protected by copyright, trademark, and other laws of Estonia and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of UTMTool.

12. User Conduct

You agree not to use the Service:

• In any way that violates any applicable national or international law or regulation.
• To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail", "chain letter," "spam," or any other similar solicitation.
• To impersonate or attempt to impersonate UTMTool, a UTMTool employee, another user, or any other person or entity.
• In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful, or in connection with any unlawful, illegal, fraudulent, or harmful purpose or activity.

13. URL Shortening Service

Our paid plans include access to our URL shortening service. Shortened URLs created through our Service are subject to the following terms:

• Shortened URLs are only available to active paid-plan subscribers
• We reserve the right to disable or remove shortened URLs after your paid subscription ends or your account is terminated
• Shortened URLs may be disabled after 30 days of account inactivity
• We do not guarantee the perpetual availability of shortened URLs
• Shortened URL data and analytics are retained after subscription termination in line with the retention periods set out in our Privacy Policy
• We reserve the right to reclaim shortened URL slugs from inactive or terminated accounts

14. Termination

We may terminate or suspend your access to our Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you cancel a paid subscription, paid access continues through the end of the current billing period. When that period ends, the workspace moves to the free plan and paid features are disabled. Shortened URLs may be disabled or removed after paid access ends. If your account is terminated, access may be disabled immediately. Data associated with your account may be deleted after the retention period specified in our Privacy Policy.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

15. Data Protection

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy for more information on how we collect, use and disclose information from our users.

16. Dispute Resolution

If you have any concern or dispute about the Service, you agree to first try to resolve the dispute informally by contacting UTMTool. If a dispute is not resolved within 30 days of submission, any resulting legal actions must be resolved through final and binding arbitration, except that you may assert claims in small claims court if your claims qualify.

17. Indemnification

You agree to defend, indemnify, and hold harmless UTMTool, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney's fees and costs, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of any third party.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.

19. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and UTMTool regarding the use of the Service, and supersede all prior agreements and understandings, whether written or oral, regarding such subject matter.
